REVISION TERMS: Minor revisions such as removal or addition of key words, small sentence restructuring etc. will incur no additional charge. Major revisions such as complete re-writes due to a change of mind or direction, the addition of sections of content not agreed upon or discussed, or any additional services not listed in this agreement will incur additional charges to be stipulated/negotiated at the time of the request. Revision timeframes: minor revisions will incur no additional charge providing the revision requests are made within 14 calendar days from receiving the first draft. Delayed revision requests can drag out deadlines and disrupt other projects. As such, revision requests received more than 14 calendar days after the initial draft is provided are charged at an hourly rate of $85.00. excl. GST. INDEMNITY: Client (you) agrees to indemnify, defend, and hold Contractor (Witty Wordsmith) harmless from all costs and expenses related to any suit, claim, or proceeding brought against Client based on a claim that any goods and services furnished under this contract and their use are found to be misleading, inaccurate, constituting an infringement of any patent, copyright, trademark, trade secret, or other intellectual property right of any third party. Client shall notify Contractor promptly of any such suit, claim, or proceeding immediately. Client holds the final responsibility to ensure goods and services provided under this contract are not inaccurate or misleading in any way that may result in legal action. DELIVERY TERMS: Revision correspondence can occur via email (preferable), phone, or Zoom The project will adhere to the discussed deadlines, and will be adjusted accordingly throughout Witty Wordsmith will provide an initial template draft for approval once all content has been developed, or at the request of the client Final deliverables will occur once all parties are satisfied. PAYMENT: All invoices are payable within 7 calendar days of issue, or as otherwise agreed upon in writing. No new project material will be taken on until payment of any and all outstanding invoices has been made. Failure to pay an invoice on time will incur a $20.00 late payment fee, with an additional $20.00 fee for every calendar week the invoice remains unpaid. Outstanding invoices exceeding 60 days of non-payment may result in legal action. INTELLECTUAL PROPERTY Any and all content shared throughout the project remains the intellectual property of Witty Wordsmith until payment has been made for services rendered, at which time, ownership is transferred to Client.
